Terms of Service
Please read these Terms of Service carefully before using the KoinKoin platform. These terms govern your use of our digital asset and cross-border payment services.
1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and KoinKoin Ghana Ltd, a company incorporated in Ghana and licensed by the Securities and Exchange Commission of Ghana ("SEC Ghana"), and KoinKoin Global Network Ltd, a company incorporated in Nigeria and operating under applicable Nigerian financial regulations (collectively, "KoinKoin", "we", "us", or "our").
By accessing or using our website (koinkoin.io), mobile applications, APIs, or any related services (collectively, the "Platform"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you must immediately cease using the Platform. We reserve the right to modify these Terms at any time. Continued use of the Platform following any modification constitutes your acceptance of the revised Terms.

2. Operating Entities
KoinKoin services are provided by the following legal entities depending on your country of residence and the services you access:

- Regulator: Subject to applicable Nigerian financial services and digital asset regulations
- Services: Digital asset infrastructure, stablecoin-powered remittances, and related financial services for Nigerian users

References to "KoinKoin" in these Terms refer to the applicable entity based on your jurisdiction of use. Both entities operate under a shared platform infrastructure and are collectively responsible for the services described herein.
3. Eligibility and Account Registration
To access and use the Platform, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher;
- Have the legal capacity to enter into a binding contract under applicable law;
- Not be a resident of, or located in, any jurisdiction where the use of digital assets or our services is prohibited or restricted by law;
- Not be subject to any sanctions, embargoes, or other legal restrictions that would prohibit your use of the Platform;
- Successfully complete our Know Your Customer ("KYC") and Anti-Money Laundering ("AML") verification processes as required.
You agree to provide accurate, current, and complete information during registration and to promptly update such information to keep it accurate. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@koinkoin.io of any unauthorised use of your account.
KoinKoin reserves the right to refuse registration, suspend, or terminate any account at its sole discretion, including for failure to meet eligibility requirements or comply with these Terms.
4. User Obligations
By using the Platform, you agree to the following obligations:
4.1 Lawful Use
You shall use the Platform only for lawful purposes and in accordance with these Terms. You must not use the Platform in any manner that violates applicable laws or regulations in Ghana, Nigeria, or any other jurisdiction in which you operate.
4.2 Prohibited Activities
You must not engage in, facilitate, or attempt to engage in any of the following:
- Money laundering, terrorist financing, or any other financial crime;
- Fraud, misrepresentation, or deceptive practices of any kind;
- Market manipulation, wash trading, or any form of artificial price inflation or deflation of digital assets;
- Unauthorised access to, or interference with, the Platform or its underlying systems;
- Circumventing or attempting to circumvent any KYC/AML controls or security measures;
- Using the Platform to conduct transactions on behalf of sanctioned individuals or entities;
- Reverse engineering, decompiling, or disassembling any part of the Platform;
- Transmitting viruses, malware, or any other harmful code;
- Violating the intellectual property rights of KoinKoin or any third party.
4.3 KYC/AML Compliance
You agree to cooperate fully with our KYC and AML verification procedures, including providing valid government-issued identification, proof of address, and any other documentation we may reasonably request. Failure to comply may result in suspension or termination of your account and reporting to relevant regulatory authorities.
4.4 Accurate Information
You represent and warrant that all information you provide to KoinKoin is true, accurate, current, and complete. You must promptly update your information if it changes. Providing false or misleading information is a material breach of these Terms.
4.5 Tax Obligations
You are solely responsible for determining and fulfilling any tax obligations arising from your use of the Platform, including any obligations under Ghanaian, Nigerian, or other applicable tax laws. KoinKoin does not provide tax advice and shall not be liable for any tax liabilities you incur.
5. Digital Asset Disclaimers
⚠ Important Risk Disclosure
Digital assets, including stablecoins and cryptocurrencies, carry significant risks. Please read this section carefully before using our services.
5.1 Nature of Digital Assets
Digital assets, including stablecoins, are not legal tender and are not backed by any government or central bank unless explicitly stated. Their value may fluctuate significantly, and past performance is not indicative of future results. KoinKoin makes no representation or warranty regarding the value, stability, or future performance of any digital asset available on the Platform.
5.2 Stablecoin Risks
While stablecoins are designed to maintain a stable value relative to a reference asset (such as the US Dollar), they are not risk-free. Stablecoins may lose their peg, become illiquid, or fail entirely due to technical failures, regulatory actions, or market conditions. KoinKoin does not guarantee the stability or redeemability of any stablecoin.
5.3 Blockchain and Technology Risks
Blockchain transactions are generally irreversible. Once a digital asset transaction is confirmed on the blockchain, it cannot be reversed, cancelled, or refunded by KoinKoin. You are solely responsible for ensuring the accuracy of all transaction details, including wallet addresses, before initiating any transaction. KoinKoin shall not be liable for losses arising from incorrect transaction details provided by you.
5.4 Regulatory Risk
The regulatory landscape for digital assets is evolving rapidly in Ghana, Nigeria, and globally. Changes in laws, regulations, or government policies may adversely affect the availability, value, or legality of digital assets or our services. KoinKoin reserves the right to modify, suspend, or discontinue any service in response to regulatory changes without prior notice.
5.5 Not Investment Advice
Nothing on the Platform constitutes financial, investment, legal, or tax advice. Any information provided by KoinKoin is for informational purposes only. You should seek independent professional advice before making any financial decisions involving digital assets.
5.6 Custody and Wallet Security
You are solely responsible for the security of your digital asset wallets and private keys. KoinKoin does not have access to your private keys and cannot recover lost or stolen digital assets. You should maintain secure backups of all wallet credentials and take appropriate security precautions.
6. Service Limitations
6.1 Service Availability
The Platform is provided on an "as is" and "as available" basis. KoinKoin does not guarantee uninterrupted, error-free, or secure access to the Platform. We may suspend, restrict, or discontinue any part of the Platform at any time for maintenance, upgrades, security reasons, regulatory compliance, or any other reason, with or without notice.
6.2 Geographic Restrictions
The Platform and its services may not be available in all jurisdictions. KoinKoin reserves the right to restrict access to the Platform from certain countries or regions at any time. It is your responsibility to ensure that your use of the Platform complies with all applicable laws in your jurisdiction.
6.3 Transaction Limits
KoinKoin may impose transaction limits, daily limits, or other restrictions on your account based on your KYC verification level, regulatory requirements, risk assessment, or other factors. These limits may be modified at any time without prior notice.
6.4 Third-Party Services
The Platform may integrate with or rely upon third-party services, including payment processors, blockchain networks, liquidity providers, and identity verification services. KoinKoin is not responsible for the availability, accuracy, or reliability of any third-party service. Any issues arising from third-party services are outside our control and we shall not be liable for any resulting losses.
6.5 Pre-Launch Services
Certain features of the Platform, including stablecoin reward programmes and referral incentives, are currently in a pre-launch phase. These features are subject to change, modification, or cancellation at any time. Participation in pre-launch programmes does not guarantee any specific rewards, returns, or outcomes. All rewards are subject to platform launch terms, regulatory approval, and compliance requirements.
6.6 Force Majeure
KoinKoin shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, civil unrest, government actions, regulatory changes, power failures, internet disruptions, or blockchain network failures.
7. Fees and Charges
KoinKoin may charge fees for certain services, including transaction fees, conversion fees, and withdrawal fees. All applicable fees will be disclosed to you prior to completing a transaction. By proceeding with a transaction, you agree to pay all applicable fees.
Fees are subject to change at any time. We will provide reasonable notice of fee changes where practicable. Continued use of the Platform following a fee change constitutes your acceptance of the revised fees.
All fees are non-refundable unless otherwise required by applicable law or expressly stated in these Terms.
8. Intellectual Property
All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, software, and the overall design, are the exclusive property of KoinKoin Ghana Ltd, KoinKoin Global Network Ltd, or their respective licensors, and are protected by applicable intellectual property laws in Ghana, Nigeria, and internationally.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms. You must not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Platform without our prior written consent.
The KoinKoin name, logo, and all related marks are trademarks of KoinKoin Ghana Ltd and KoinKoin Global Network Ltd. You must not use our trademarks without our prior written permission.
9. Limitation of Liability
To the maximum extent permitted by applicable law in Ghana and Nigeria, the following limitations apply to your use of the Platform.
9.1 Exclusion of Warranties
The Platform is provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted service. KoinKoin does not warrant that the Platform will be error-free, secure, or free from viruses or other harmful components.
9.2 Cap on Liability
To the fullest extent permitted by law, KoinKoin's total aggregate liability to you for any claims arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of (a) the total fees paid by you to KoinKoin in the twelve (12) months preceding the claim, or (b) USD 100.
9.3 Exclusion of Consequential Damages
In no event shall KoinKoin be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of digital assets, loss of goodwill, or business interruption, arising out of or in connection with your use of the Platform, even if KoinKoin has been advised of the possibility of such damages.
9.4 Digital Asset Losses
KoinKoin shall not be liable for any loss of digital assets arising from: (a) your failure to maintain the security of your account credentials or private keys; (b) your provision of incorrect transaction details; (c) blockchain network failures or congestion; (d) regulatory actions or government seizures; or (e) market volatility or price fluctuations.
10. Indemnification
You agree to indemnify, defend, and hold harmless KoinKoin Ghana Ltd, KoinKoin Global Network Ltd, and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms;
- Your use or misuse of the Platform;
- Your violation of any applicable law or regulation;
- Your infringement of any third-party rights, including intellectual property rights;
- Any false or misleading information you provide to KoinKoin;
- Any unauthorised use of your account.
11. Termination
KoinKoin reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, including but not limited to cases where:
- You breach any provision of these Terms;
- We are required to do so by applicable law or regulatory authority;
- We reasonably suspect fraudulent, illegal, or abusive activity on your account;
- You fail to complete or maintain satisfactory KYC/AML verification;
- We decide to discontinue the Platform or any part thereof.
Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5 (Digital Asset Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Governing Law).
You may close your account at any time by contacting us at support@koinkoin.io. Account closure does not relieve you of any obligations incurred prior to closure.
12. Privacy and Data Protection
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your personal information as described in the Privacy Policy.
KoinKoin processes personal data in accordance with the Ghana Data Protection Act, 2012 (Act 843) and Nigeria's Nigeria Data Protection Act 2023 (NDPA), as applicable to your jurisdiction.
13. Governing Law and Dispute Resolution
13.1 Governing Law
For users in Ghana, these Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. For users in Nigeria, these Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. For users in other jurisdictions, the laws of Ghana shall apply unless otherwise required by mandatory local law.
13.2 Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Platform, the parties shall first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be referred to mediation or arbitration in accordance with the applicable rules of the relevant jurisdiction.
13.3 Jurisdiction
Subject to the arbitration provisions above, you irrevocably submit to the exclusive jurisdiction of the courts of Ghana (for Ghanaian users) or Nigeria (for Nigerian users) for the resolution of any disputes not subject to arbitration.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements or policies incorporated by reference, constitute the entire agreement between you and KoinKoin with respect to your use of the Platform and supersede all prior agreements, understandings, and representations.
14.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
14.3 Waiver
KoinKoin's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. KoinKoin may assign its rights and obligations under these Terms without restriction.
14.5 Amendments
KoinKoin reserves the right to amend these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after any amendment constitutes your acceptance of the revised Terms.
